2. The Marketing Process is well underway. And it comes at a critical time in these
cases; the Debtors have yet to receive a response to the restructuring proposal provided to the
Ad Hoc Group on December 1, 2022.3 As a result, the Debtors have made the Marketing Process
their major focus. The Debtors and their advisors have reached out to over 30 potential transaction
parties (the “Outreach Parties”), including many of their competitors. The Debtors have already
executed confidentiality agreements with a number of these Outreach Parties. The Debtors, in
conjunction with the Ad Hoc Group and the Committee, established a deadline of February 16,
2023, for parties to submit non-binding indications of interest. If the Debtors, with the assistance
of their advisors, determine that one or more indications of interest represent a potential valuemaximizing
proposition, a second phase of the process will commence with the solicitation of
binding offers.
