they were trying to get around some of the rights issues...
When you use a song in a movie you must get permission from:
1) the company that owns the rights to the recording... and...
2) the artists/performer that performed on the recording... and...
3) the songwriter(s) (or who owns the songwriting copywrite for the material)
they were planning on hiring actors/musicians to re-record the Beatles songs that would have appeared in Yellow Submarine and that would make the movie the owners of copywrites for the recordings and the performers would be work for hire (meaning they would sign away the performer rights to the movie production company so their performances would appear in the movie).
That just leaves dealing with the songwriting copyright (which I belive is still owned majority by Michael Jackson's estate and minor percent owned by Paul McCartney). They would need permission of both parties for the songs to be used.
Paul McCartney even had trouble getting Michael Jackson to license Beatle songs for various projects when MJ was alive (it was rumored to have ruined their friendship)
