A publicly held company is fundamentally and legally different than a church:

Officers act as agents. They act on behalf of the corporation, and they also owe a fiduciary duty to the shareholders of the corporation. Like directors, corporate officers must discharge their duties in what they believe in good faith to be in the best interest of the corporation. They also owe a duty to act with the care that a reasonably prudent person would if put in a similar situation. The corporation’s bylaws -- rules that govern the corporation -- provide for the appointment of certain officers. Corporations typically have a president and a treasurer, or secretary-treasurer, but the bylaws may allow the directors to appoint other officers as well.
